1. Agreement to Terms

These Terms of Use constitute a legally binding agreement between you and Palm Beach Conservatives (the “Club,” “PBC,” “we,” “us,” or “our”), which operates through a Florida limited liability entity.

These Terms govern your access to and use of the Club’s website (the “Website”), including membership applications, event registrations, purchases, communications, and attendance at Club events.

By accessing or using the Website, applying for membership, purchasing membership or event tickets, or attending any Club event, you acknowledge that you have read, understand, and agree to be legally bound by these Terms, together with the Privacy Policy and Return Policy, which are incorporated by reference.

If you do not agree, do not use the Website.

2. Private Club Status and Membership Discretion

Palm Beach Conservatives is a private political and social club.

Membership is a privilege, not a right. The Club reserves the right, in its sole discretion and to the fullest extent permitted under Florida law, to approve, deny, suspend, revoke, restrict, or decline to renew membership or event access at any time.

Membership does not create ownership, partnership, fiduciary, employment, or governance rights.

3. Eligibility

You must be at least eighteen (18) years old to apply for membership or make purchases.

You represent that all information submitted is truthful, accurate, and complete.

4. Payments and Transactions

All dues, ticket purchases, and other fees are due in full at the time of purchase unless otherwise stated.

Payments are processed through third-party payment processors. The Club does not store full payment card numbers.

You authorize the Club and its processors to charge your selected payment method for all amounts due.

The Club may refuse or cancel any transaction at its discretion, including suspected fraud.

5. Third-Party Ticketing Platforms

The Club may utilize third-party ticketing, event management, or registration platforms to facilitate event access and related services.

When you purchase event tickets or register through a third-party platform, your transaction is governed by that platform’s terms of service, return policies, privacy policies, and dispute resolution procedures.

The Club does not control and is not responsible for the independent operation, payment processing, data handling practices, security measures, or policies of third-party platforms.

Any disputes relating to purchases or registrations made through third-party platforms must be directed to the applicable platform in accordance with its governing terms.

6. Return Policy

Refunds and returns are governed exclusively by the Club’s Return Policy.

To the fullest extent permitted under Florida law:

• Membership dues are non-refundable. Membership benefits begin immediately upon purchase, and access to membership privileges constitutes delivery of services.

• Event tickets are non-refundable unless the Club cancels the event.

• Suspension, revocation, or denial of membership does not create a refund obligation.

You agree to contact the Club to attempt to resolve any billing concern prior to initiating any chargeback or payment dispute. Initiating a chargeback without first seeking resolution may constitute a breach of these Terms.

7. ASSUMPTION OF RISK AND RELEASE OF LIABILITY

Participation in Club events involves inherent risks, including but not limited to bodily injury, illness, property damage, or other loss.

YOU ACKNOWLEDGE AND VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH YOUR PARTICIPATION.

TO THE FULLEST EXTENT PERMITTED UNDER FLORIDA LAW, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND HOLD HARMLESS THE CLUB AND ITS OPERATORS, MANAGERS, VOLUNTEERS, CONTRACTORS, AFFILIATES, VENUES, AND PARTNERS FROM ANY AND ALL CLAIMS, INCLUDING CLAIMS ARISING FROM THE CLUB’S OWN NEGLIGENCE.

THIS RELEASE DOES NOT APPLY TO GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT, WHICH CANNOT BE WAIVED UNDER FLORIDA LAW.

8. Media and Publicity Release

By attending any Club event, you grant the Club a perpetual, irrevocable, worldwide, royalty-free right to use your name, likeness, image, and voice captured at events for lawful promotional, editorial, archival, or marketing purposes without compensation.

9. Intellectual Property

All Website content, branding, names, logos, text, graphics, and materials are owned by the Club or its licensors and protected under federal and Florida law.

You are granted a limited, revocable, non-transferable license for personal, non-commercial use only.

Unauthorized reproduction, distribution, scraping, framing, or commercial exploitation is prohibited.

10. Confidentiality and Non-Solicitation

Membership lists and member identities constitute confidential proprietary information.

You agree not to copy, distribute, publish, sell, or use membership information for commercial, political, or competing organizational solicitation without written authorization.

11. Prohibited Conduct

You agree not to:

• Violate federal, state, or local law

• Engage in harassment, defamation, or disruptive conduct

• Attempt unauthorized access to Club systems

• Use automated data extraction tools

• Introduce malicious code

• Misrepresent affiliation with the Club

Violation may result in immediate termination of membership or access.

12. DISCLAIMER OF WARRANTIES

THE WEBSITE AND CLUB SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULLEST EXTENT PERMITTED UNDER FLORIDA LAW, THE CLUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED UNDER FLORIDA LAW, THE CLUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

THE TOTAL AGGREGATE LIABILITY OF THE CLUB FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF:

• ONE HUNDRED DOLLARS ($100), OR

• THE AMOUNT YOU PAID TO THE CLUB WITHIN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Club and its affiliates, managers, volunteers, contractors, and partners from any claims, liabilities, damages, losses, costs, or attorneys’ fees arising from:

• Your violation of these Terms

• Your conduct at events

• Your misuse of the Website

• Your infringement of third-party rights

15. MANDATORY ARBITRATION AND CLASS ACTION WAIVER

YOU AND THE CLUB AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR CLUB ACTIVITIES SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION IN THE STATE OF FLORIDA.

YOU UNDERSTAND THAT BY AGREEING TO THESE TERMS:

• YOU ARE WAIVING THE RIGHT TO A TRIAL BY JURY.

• YOU ARE WAIVING THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR COLLECTIVE PROCEEDING.

• ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

If arbitration is deemed unenforceable, exclusive venue shall be the state courts located in Palm Beach County, Florida.

16. LIMITATION ON TIME TO FILE CLAIMS

ANY CLAIM ARISING FROM THESE TERMS OR RELATED ACTIVITIES MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES, OR IT IS PERMANENTLY BARRED.

17. Force Majeure

The Club shall not be liable for delays or failures resulting from causes beyond its reasonable control, including acts of God, weather events, government actions, public health emergencies, venue closures, or other unforeseen circumstances.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida.

19. Severability

If any provision is held invalid or unenforceable under Florida law, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy and Return Policy, constitute the entire agreement between you and the Club.
